Terms of Service

Last updated September 2026

In plain terms: we agree on scope and price in writing, you pay as agreed, we do the work well, and you own the finished deliverables once you have paid. The details below explain how that works.

01Acceptance & overview

These Terms of Service (the “Terms”) govern your use of the Keystone Business Solutions website (keystonebusinesssolutions.site) and every service we provide. “Keystone,” “we,” and “us” mean Keystone Business Solutions, based in Flemington, New Jersey. “You” and “Client” mean the person or business using the site or engaging us.

By using this site, submitting our contact form, or engaging Keystone for services, you agree to these Terms. If you do not agree, please do not use the site or our services.

If you sign a separate written agreement or addendum with Keystone, that agreement controls wherever it conflicts with these Terms. These Terms fill in everything the agreement does not cover.

02Our services

Keystone provides the following, each of which may be engaged on its own or combined:

  • Website design and development (Landing Page and Multi-Page Site), including hosting, domain, maintenance, and basic SEO setup
  • SEO and Google Business Profile: profile setup, SEO setup for existing sites, and ongoing SEO
  • Graphic design and printing: logo and business cards, and monthly marketing design
  • Social media management: design only, or design plus running your page
  • Business compliance and paperwork: retainers, single-job paperwork, HIC license help, and DOT setup help
  • Business document preparation: estimates, contracts, invoices, and related paperwork
  • Bilingual (English/Spanish) services
  • Ongoing website maintenance, including takeover of sites we did not build

Descriptions and prices on our Services pages summarize each offering. The exact scope, deliverables, timeline, and cost of your engagement are confirmed with you in writing before work begins.

03Quotes, agreements & starting work

Submitting our contact form or requesting a quote does not create an engagement. An engagement begins only when you and Keystone agree on scope and price in writing (an email confirmation is sufficient) and, where applicable, any required payment or signed agreement is received.

Prices shown on this site are current as of the date posted and may change for new engagements. Custom or out-of-scope requests are quoted separately. We may decline or end any engagement that is outside our expertise or that we reasonably believe is unlawful or unethical.

When you submit our contact form, you must provide your real name, a valid email address, and a valid 10-digit U.S. phone number. By submitting the form, you agree that Keystone may contact you by phone, text message, or email about your inquiry. Form submissions are collected through Formspree, a third-party service, as described in our Privacy Policy. You can ask us to stop contacting you at any time.

04Client responsibilities

To keep your project on schedule, you agree to:

  • Provide accurate and complete business information, and keep it current
  • Give timely feedback and approvals
  • Supply the content, images, logos, and account access (such as your existing domain, hosting, or Google Business Profile) we need to complete the work
  • Review deliverables promptly and tell us about problems in writing

Delays in providing these items may push back timelines, and Keystone is not responsible for delays caused by missing or late materials.

05Websites, hosting & domain

Our website plans include the build, hosting, domain, ongoing maintenance, and basic SEO setup, as described for the plan you choose.

Keystone registers and/or maintains administrative control of the domain associated with your website for as long as your agreement is in effect. Ownership of the domain transfers to you only on (a) a completed buyout, or (b) satisfactory completion of your initial term followed by your written request to transfer, which may carry an administrative transfer fee.

If an account is more than fifteen (15) days past due, Keystone may suspend hosting, site availability, and any associated email services. Suspension does not release control of the domain. Service resumes when the account is brought current.

06Subscription term, renewal & cancellation

Monthly website subscriptions carry a minimum initial term stated in your agreement. When the initial term ends, you may continue month-to-month at the then-current rate, buy out the site and domain, or cancel. On cancellation, hosting and domain access are discontinued.

If you cancel a monthly subscription before the initial term ends, you remain responsible for either the remaining monthly payments through the end of the term or a flat early-termination fee, as stated in your signed agreement.

Where you paid a one-time build fee, the hosting and care plan continues month-to-month, and either party may cancel it with thirty (30) days’ written notice.

07Buyout & transfer

A buyout lets you take ownership of your website and domain. The buyout price, and any early-termination fee, is stated in a signed addendum before or at the time of the buyout. We will provide a reasonable handover of site files and domain access once the buyout is paid in full.

Third-party licenses, tools, and Keystone’s own reusable code and templates are not transferred, as described under Intellectual property below.

08Payment

Fees, due dates, retainers, per-job fees, and maintenance fees are set out in your quote or agreement. Unless stated otherwise, monthly fees are billed in advance and one-time fees are due as stated in your agreement.

Third-party costs are separate and are paid by you unless we agree otherwise in writing. Examples include government or agency filing fees (such as HIC or DOT fees), print production costs beyond what your package includes, advertising spend, paid stock media, and third-party software subscriptions.

You are responsible for any taxes that apply to your purchase. Payment is not refundable once work has begun, except where we agree otherwise in writing or where the law requires.

09Revisions & additional work

Each service includes the revisions described for it (for example, “revisions until it feels right” for logos, or the monthly update allowance for maintenance). Requests beyond the defined scope, such as redesigns, additional pages, e-commerce functionality, new features, or ongoing SEO campaigns, are quoted and agreed in writing before work begins and billed separately.

10Maintenance plans

Maintenance included with a Keystone website plan covers a monthly allowance of content updates (currently three to four items per month), plus uptime and performance checks and security and software updates. Unused updates do not roll over.

A change made in both English and Spanish counts as two items. Requests beyond the monthly allowance may be quoted separately.

Maintenance takeover of a site we did not build requires a one-time takeover audit before we agree to maintain it. The audit fee is due before we touch the site. We are not responsible for pre-existing defects, security problems, or code quality on sites we did not build, though we will tell you what we find.

11Retainers & per-job services

Compliance and paperwork retainers include the number of jobs stated in your agreement each month. Additional jobs are billed at the per-job rate in your agreement. Unused jobs do not roll over unless we agree otherwise in writing.

Single-job services are one-time and carry no monthly commitment. Turnaround depends on how quickly you send complete information about the job.

12SEO & marketing disclaimer

Search engines and social platforms control their own results and rules. Keystone does not guarantee any specific ranking, traffic, follower count, lead volume, or revenue from SEO, Google Business Profile, or social media work. SEO takes time, and results vary by business, location, and competition.

We will follow generally accepted practices and will not use tactics designed to violate search engine or platform policies.

13Compliance & paperwork disclaimer

Keystone prepares and organizes business paperwork and helps you navigate registration and licensing processes such as HIC and DOT. Keystone is not a law firm, is not an accounting firm, and does not provide legal, tax, or professional licensing advice. Nothing we provide should be treated as legal advice.

Approval of any application, license, or registration is decided by the issuing agency, not by Keystone, and we cannot guarantee approval or processing times. You remain responsible for the accuracy of the information you give us and for complying with the laws and regulations that apply to your business. For legal questions, please consult a licensed attorney.

14Design & printing

Design work is delivered as described for your package, usually as digital files and, where included, printed materials. Please proof all text, spelling, phone numbers, and details carefully before approving a design or a print run. Once you approve a file for print, errors in the approved content are your responsibility, and reprints are at your cost.

Colors can vary between screens and printed materials. We coordinate with print vendors but are not responsible for delays or defects caused by third-party printers beyond reprint coordination.

15Intellectual property

On full payment, ownership of custom deliverables created for you (site content, designs, logos, and documents) transfers to you, except for third-party tools, fonts, stock media, licenses, and Keystone’s own reusable code, templates, and methods, which remain with their owners and are licensed to you for use with your deliverables.

Until full payment is received, Keystone retains ownership of all work in progress and final files.

Unless you ask us in writing not to, Keystone may show the finished work and your business name in our portfolio, website, and marketing materials as an example of our work. We will not disclose your confidential business information.

16Content you provide

You confirm that you own, or have permission to use, all text, images, logos, and other materials you give us, and that they do not infringe anyone’s rights or violate the law. You are responsible for claims arising from materials you provide. We may decline to publish content we reasonably believe is unlawful, misleading, or harmful.

17Third-party services

Our work relies on third-party services, such as domain registrars, hosting providers, Google (Search Console and Business Profile), social media platforms, print vendors, and Formspree, which processes our contact form. These providers have their own terms and privacy policies, and Keystone is not responsible for their outages, policy changes, or actions.

18Confidentiality

Each party will keep the other’s non-public business information confidential and use it only to carry out the engagement, except where disclosure is required by law or to our service providers who need it to deliver the work and who are bound to protect it. This does not apply to information that is public or that you have asked us to publish.

19Pricing review

Keystone may review and adjust monthly rates no more than once every twelve (12) months, with thirty (30) days’ written notice to you. If you do not accept a change, you may cancel the affected service before the new rate takes effect, subject to any early-termination terms in your agreement.

20Disclaimers & limitation of liability

Our site and services are provided “as is,” and to the extent the law allows, Keystone disclaims all warranties that are not expressly stated in your agreement, including implied warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation. We work to keep sites available but cannot promise the absence of downtime.

To the extent permitted by law, Keystone is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or lost business opportunities. Keystone’s total liability for any claim relating to our services will not exceed the total fees you paid Keystone in the twelve (12) months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

21Indemnification

You agree to defend and hold Keystone harmless from claims, damages, and reasonable costs arising from materials you provide, your use of deliverables in violation of these Terms or the law, or your breach of these Terms.

22Termination

Either party may end an engagement in writing if the other materially breaches these Terms and does not correct the problem within fifteen (15) days of written notice. We may suspend or end services immediately for non-payment as described above, or for unlawful use.

On termination, you remain responsible for fees for work completed and for any charges due under your agreement. Sections that by their nature should survive termination (including payment, intellectual property, disclaimers, liability, and governing law) will survive.

23Governing law & disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. We encourage you to contact us first so we can try to resolve any concern informally. Any dispute that cannot be resolved that way will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

24Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top shows the most recent change. Continued use of the site or services after changes take effect means you accept the updated Terms. Changes do not alter the price or scope of an engagement already agreed in writing.
